Vendor Agreement

This Vendor Agreement (“Agreement”) governs your participation as a seller (“Vendor,” “you,” or “your”) on Butter & Sage Market (“Butter & Sage,” “we,” “us,” or “our”).
By registering as a Vendor or listing products, you agree to be bound by this Agreement.
1. Marketplace Role
Butter & Sage Market is a technology platform only that enables Vendors to connect with customers.
We do not:
- Produce, store, or sell goods
- Operate as a food business, retailer, or distributor
- Control or verify Vendor compliance, safety, or legality
You operate as an independent business at all times.
2. Independent Business Status
You acknowledge and agree:
- You are not an employee, agent, or partner of Butter & Sage
- You are solely responsible for your business operations
- You have full control over your products, pricing, and policies
3. Legal Compliance (Critical Section)
You are solely responsible for understanding and complying with all applicable laws, including:
- Cottage food laws
- Food safety regulations
- Labeling and allergen requirements
- Licensing and permitting requirements
- Local, state, and federal business laws
No Legal or Regulatory Advice
Any information provided by Butter & Sage regarding:
- Cottage food laws
- Licensing
- Food safety
- Business operations
is provided for informational purposes only.
Butter & Sage Market:
- Is not a law firm
- Does not provide legal, tax, or regulatory advice
- Does not guarantee accuracy or completeness of information
You agree that you will independently verify all requirements with:
- Local and state regulatory authorities
- Licensed attorneys
- Tax professionals
Your reliance on any information from Butter & Sage is at your own risk.
4. Licensing & Insurance Requirements
You are solely responsible for:
- Obtaining and maintaining all required licenses and permits
- Maintaining appropriate business and liability insurance
Butter & Sage Market:
- Does not verify your licensing or insurance
- Does not provide insurance coverage
- Assumes no liability for your compliance or lack thereof
Failure to comply may result in account suspension or termination.
5. Tax Responsibility
You are solely responsible for:
- Determining applicable taxes
- Collecting taxes from customers where required
- Filing and remitting taxes to appropriate authorities
Butter & Sage Market:
- Does not collect or remit taxes on your behalf
- Does not determine your tax obligations
- Does not provide tax advice
6. Product Responsibility
You are fully responsible for:
- Product safety and quality
- Ingredient accuracy and disclosure
- Allergen labeling
- Compliance with food handling regulations
You acknowledge that:
- Products may pose health risks
- You assume all liability related to product consumption
7. AI-Generated Content & Imagery
What the tool does. The Bea AI Assistant and Brand Generator can create copy, descriptions, and background artwork for your signs, banners, cards and brand kit using a third-party artificial intelligence image service. The artwork is generated from a description — it is not selected from a stock library, and it is not drawn by a person. Certain AI generation features are available to vendors with an active Maker & Bloom subscription. The Brand Generator’s other templates, and the compliance placard, are available to every vendor and do not use AI.
Who owns the copy aid the mage. As between you and Butter & Sage Market, you own the text and images you generate through your account, and you may use them commercially, including on printed goods you sell or display. We claim no ownership of them.
What we do not promise. Generated text and images are provided as-is. We make no warranty that any text or generated image is original, unique to you, or free of any third party’s copyright, trademark, design right, or other intellectual property right. AI text and image services are trained on large bodies of existing work, and neither we nor the service provider can guarantee that a given output does not resemble something already protected. Another vendor using a similar description may receive a similar image.
You are responsible for how you use it. Before using a generated text or image in commerce — on a banner, a label, a package, a logo, or anything you sell — you are responsible for satisfying yourself that the use is lawful and does not infringe anyone’s rights. This includes checking that any mark you adopt as a logo is available for you to use. If you are building a brand you intend to protect, seek professional advice before adopting an AI-generated mark: in the United States, works lacking human authorship may not be registrable for copyright.
No indemnity. Butter & Sage Market does not indemnify you against, and is not liable for, any claim arising from your use of a generated text or image. Our liability in connection with generated text and imagery is limited as set out in the limitation of liability section of these terms.
What you may not ask it to make. You agree not to use our AI services to attempt to reproduce another party’s logo, trademark, brand, or copyrighted character, or the likeness of any identifiable person without their consent. We may decline or remove generations that do so, and repeated attempts may end your access to the feature.
Credits. AI generation is metered in credits.
- Credits are a usage allowance, not currency, not a stored-value account, and have no cash value.
- Every generation spends credits, including images you regenerate, reject, or never download. The cost is the act of generating, not the act of keeping.
- Credits included with a Bloom subscription are granted for each billing period and expire at the end of that period. They do not roll over.
- Credits you purchase separately do not expire and remain available until spent. Spending draws on your included credits first.
- We do not bill you automatically for going over. When your credits run out, generation stops until the next period or until you buy more.
- Separately from credits, generation is limited to 15 images per account per day. This is a safeguard against a repeating error consuming an allowance, not a ration; it resets daily, and we may adjust it.
- Credits are not refundable once spent. If a generation fails on our side, the credits for it are returned to you automatically.
Service changes. We may change the underlying AI service provider, model, or image quality, and may adjust credit costs for future generations, with notice in the dashboard. Changes to credit costs do not apply retroactively to generations already made.
Cottage food compliance is separate. The compliance placard is generated from published state cottage food requirements and never uses AI. It is provided for convenience and is not legal advice. Cottage food law changes, and you remain responsible for confirming the required wording with your state department of agriculture or health before you print and display it.
8. Orders & Fulfillment
You are solely responsible for:
- Order processing
- Delivery, shipping, or pickup logistics
- Customer communication
- Resolving disputes
Butter & Sage is not responsible for fulfillment failures.
9. Payments & Stripe
- You must maintain an active Stripe account
- You are responsible for:
- Stripe compliance
- Payment disputes
- Processing fees
Butter & Sage is not liable for:
- Payment failures
- Processor errors
- Delays in funds
10. Fees
- Free plan: commission per sale
- Paid plans: subscription-based
We may modify fees at any time with notice.
11. Customer Data
You agree to:
- Use customer data only to fulfill orders
- Comply with all data privacy laws
- Not sell, misuse, or retain unnecessary data
12. Prohibited Conduct
You may not:
- Circumvent the platform for off-platform sales
- Misrepresent products
- Sell illegal or unsafe goods
- Harass customers or other users
- Share account access
13. Suspension & Termination
We may suspend or terminate your account at any time for:
- Legal risk
- Policy violations
- Poor customer experience
14. Indemnification
You agree to indemnify and hold harmless Butter & Sage from any claims arising from:
- Your products
- Your business operations
- Your legal non-compliance
15. Limitation of Liability
Butter & Sage is not liable for:
- Your business operations
- Product-related harm
- Legal violations
Liability is limited to fees paid in the prior 12 months.
16. Dispute Resolution
All disputes with Butter & Sage will be resolved via:
- Binding individual arbitration
- No class actions
- No jury trials

Referral Program

This agreement ("Agreement") governs your participation as a seller ("Vendor," "you," or "your") on Butter & Sage Market ("Butter & Sage," "we," "us," or "our").
Butter & Sage Market offers a referral program exclusively to active Butter & Sage Market vendors. Eligible vendors may participate by sharing the unique referral link provided in their vendor dashboard.
1. Eligibility
The Referral Program is available only to vendors with an active Butter & Sage Market vendor account in good standing. To receive referral payments, the referring vendor must have a valid and connected Stripe account capable of receiving payouts through the Butter & Sage Market platform.
Referral participants may not refer themselves, businesses they own or control, or accounts owned or controlled by a related person or entity. Creating or using multiple accounts for the purpose of generating referral earnings is prohibited.
2. Qualifying Referrals
A referral qualifies only when a new vendor creates a Butter & Sage Market vendor account using the referring vendor's unique referral link.
Referral attribution is based on the referral tracking technology used by Butter & Sage Market, which may include cookies or similar technologies. Butter & Sage Market cannot guarantee attribution when a prospective vendor accesses a referral link on one device, browser, or session and completes registration on another device, browser, or session, or when cookies or other tracking technologies are blocked, deleted, expired, or otherwise unavailable.
A person or business that already has a Butter & Sage Market account is not considered a new referral. Butter & Sage Market may determine, in its reasonable discretion, whether a referral meets the requirements of the Referral Program.
3. Referral Earnings
For each qualifying referral, the referring vendor will receive 20% of the net revenue actually earned by Butter & Sage Market from the referred vendor during the first twelve (12) months following the referred vendor's registration date.
Referral earnings are calculated based on the revenue Butter & Sage Market actually earns from the referred vendor, and not on the referred vendor's gross sales.
For referred vendors on a commission-based Butter & Sage Market plan, the referral payment is equal to 20% of the commission revenue actually retained by Butter & Sage Market.
For referred vendors on a paid subscription plan, the referral payment is equal to 20% of the subscription revenue actually retained by Butter & Sage Market.
For example, if Butter & Sage Market earns a $10 commission from a referred vendor's transaction, the referring vendor earns $2.00. If a referred vendor pays a $20 subscription fee, the referring vendor earns $4.00.
Taxes, shipping charges, vendor sales proceeds, and amounts that are not revenue retained by Butter & Sage Market are not included in the calculation of referral earnings. Butter & Sage Market's operating expenses, including payment processing fees, Stripe fees, software costs, or other business expenses, are not deducted from the revenue used to calculate the referral payment. Butter & Sage Market bears its own operating and payment processing costs.
Referral earnings are calculated only on amounts actually retained by Butter & Sage Market. Refunds, cancellations, chargebacks, payment reversals, credits, or other adjustments that reduce the revenue actually retained by Butter & Sage Market will reduce or eliminate the corresponding referral earnings.
4. Referral Period
Referral earnings are available for a period of twelve (12) months beginning on the date the referred vendor registers for a Butter & Sage Market vendor account.
After the twelve-month referral period expires, no additional referral earnings will accrue from that vendor unless Butter & Sage Market expressly establishes a different promotion or referral arrangement.
If the referring vendor later cancels their Butter & Sage Market vendor account, the referring vendor may continue to receive referral payments for qualifying referrals made before cancellation, provided that:
- the referral remains valid;
- the referring vendor continues to have a connected and eligible Stripe account;
- the referring vendor remains in compliance with these Terms and the Referral Program rules; and
- the referring vendor's account has not been terminated for cause.
5. Referral Payment Timing
Referral earnings are subject to a thirty (30) day holding period from the date the underlying revenue is earned. This holding period allows Butter & Sage Market to account for refunds, cancellations, chargebacks, payment reversals, and other adjustments before referral earnings become available for payout.
Once an individual referral earning has passed the applicable thirty-day holding period, it becomes part of the referring vendor's available referral balance, subject to any applicable adjustments.
Referral payouts are made through Stripe. A referring vendor must maintain a valid, connected Stripe account to receive referral payments.
Payouts are issued when the vendor's available referral balance reaches at least $10.00. When the $10.00 threshold is reached, the entire available balance will be paid through Stripe, subject to any applicable payout processing requirements or restrictions imposed by Stripe.
If a vendor does not maintain a connected and eligible Stripe account, Butter & Sage Market may be unable to issue referral payments until a qualifying Stripe account is connected.
6. Prohibited Referral Activities
Vendors may share their referral links through their own websites, social media accounts, email communications, online communities, or other lawful channels. However, participation in the Referral Program does not permit vendors to engage in conduct that could harm Butter & Sage Market, its vendors, customers, or reputation.
Prohibited activities include, but are not limited to:
- self-referrals or referrals involving accounts owned or controlled by the referring vendor;
- creating multiple accounts or otherwise manipulating the Referral Program to generate additional earnings;
- fraudulent, deceptive, or misleading referral activity;
- making false, misleading, or unauthorized claims about Butter & Sage Market;
- representing or implying that the referring vendor is an employee, agent, official representative, or spokesperson for Butter & Sage Market;
- spam, unsolicited bulk messaging, automated messaging, or other abusive promotional practices;
- using referral links in a manner that violates the rules or terms of a third-party platform;
- using offensive, abusive, defamatory, threatening, or inappropriate language when promoting Butter & Sage Market; or
- any other activity that Butter & Sage Market reasonably determines to be fraudulent, abusive, misleading, or inconsistent with the purpose of the Referral Program.
Vendors are responsible for ensuring that their referral activities comply with applicable laws and the rules of any platform through which they promote their referral link.
7. Fraud, Abuse, and Referral Adjustments
Butter & Sage Market reserves the right to investigate referral activity and to withhold, delay, cancel, or reverse referral earnings that it reasonably determines resulted from fraud, abuse, manipulation, ineligible referrals, prohibited activity, refunds, chargebacks, reversals, or violations of these Terms or the Referral Program rules.
If referral earnings have already been paid and are later determined to have resulted from an invalid or prohibited referral, Butter & Sage Market may offset the amount against future referral earnings or take other reasonable steps to recover the amount.
Butter & Sage Market's determination regarding the eligibility of a referral or referral payment will be final, subject to applicable law.
8. Changes or Termination of the Referral Program
Butter & Sage Market reserves the right to modify, suspend, limit, or terminate the Referral Program at any time, with or without notice. This includes the right to change eligibility requirements, referral percentages, payment thresholds, qualification requirements, payment methods, or other program terms.
Changes to the Referral Program will not eliminate referral earnings that were legitimately earned before the effective date of the change, subject to the terms and conditions applicable to those earnings.
Butter & Sage Market may immediately suspend or terminate a vendor's participation in the Referral Program if the vendor engages in fraud, abuse, prohibited promotional activity, violates these Terms, or otherwise misuses the Referral Program.
9. No Agency or Partnership
Participation in the Referral Program does not create an employment, agency, partnership, franchise, joint venture, or other legal relationship between the referring vendor and Butter & Sage Market.
Referral participants have no authority to make representations, warranties, commitments, or agreements on behalf of Butter & Sage Market.
10. Program Interpretation
Butter & Sage Market reserves the right to interpret and administer the Referral Program and to determine whether a referral, referral activity, or referral payment qualifies under these Terms.
The Referral Program is intended to reward vendors who introduce legitimate new vendors to Butter & Sage Market. Participation in the program is a privilege and not a guarantee of referral earnings.

All purchases are made directly from Vendors.
2. Product Risk & Food Safety Disclaimer
You acknowledge:
- Products are made by independent Vendors
- Many products may be produced in home kitchens
- Cross-contamination is possible
Butter & Sage:
- Does not verify:
- Food safety practices
- Licensing
- Ingredient accuracy
Vendor claims such as:
- “Gluten-free”
- “Nut-free”
- “Organic”
are not verified by Butter & Sage.
You assume all risks associated with consumption.
3. Allergies & Health Responsibility
You are responsible for:
- Reviewing product details
- Communicating allergies to Vendors
- Determining product suitability
Butter & Sage is not liable for:
- Allergic reactions
- Illness
- Health-related damages
4. Orders & Fulfillment
Vendors are responsible for:
- Order fulfillment
- Delivery or pickup
Butter & Sage does not guarantee:
- Availability
- Delivery timelines
5. Payments
Payments are processed through third parties.
Butter & Sage is not responsible for:
- Payment errors
- Processing failures
6. Refunds & Disputes
- Refunds are handled by Vendors
- You agree to resolve disputes directly with Vendors
Butter & Sage does not mediate disputes.
7. Limitation of Liability
Butter & Sage is not liable for:
- Product quality or safety
- Vendor conduct
- Delivery issues
8. Dispute Resolution
All disputes with Butter & Sage are subject to:
- Binding arbitration
- No class actions
- No jury trials
